Koiyo Media Terms & Conditions
1. Acceptance of Terms
By accessing or using the Koiyo Media website and services, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our services.
2. Scope of Services
Koiyo Media provides video production, content creation, and related creative services as outlined on our website. All services supplied are governed by these Terms and any additional agreements or Statements of Work (SOW) mutually agreed upon.
3. Intellectual Property & Content Use
- All content on the Koiyo Media website—including images, videos, graphics, text, and branding—is protected by copyright and other intellectual property rights.
- Clients receive a limited, non-exclusive license to use completed deliverables in accordance with the project agreement. Use beyond the agreed scope requires written permission.
- Unauthorized reproduction, modification, distribution, or public display is strictly prohibited.
4. Client Responsibilities
- Clients must provide timely approvals, feedback, and required materials (e.g., scripts, access, assets) to facilitate project delivery.
- Any delays caused by incomplete input may affect deliverables, timelines, or pricing.
5. Payment Terms
- Invoices are issued as specified in the project agreement and are payable within 30 days of receipt unless otherwise agreed.
- Late payments may incur interest at the lower of 1% per month or the maximum legal rate, plus any collection costs and legal fees.
- Third-party costs (e.g., actors, locations, licenses) may be billed separately or charged in advance.
6. Changes & Additional Work
- Any work outside the original scope (e.g., additional edits, reshoots, new assets) will be treated as Out-of-Scope (OOS) and billed separately.
- New estimates or approvals are required before beginning additional work.
7. Termination & Cancellation
- Either party may terminate the project with 60 days’ written notice, unless otherwise defined in a specific SOW.
- In such cases, the client remains responsible for payment of all work completed and expenditures committed up to the termination date (including non-cancelable expenses).
8. Indemnification
Clients agree to indemnify and hold Koiyo Media harmless against any claims, damages, losses, and expenses arising from:
- Use of content provided by the Client;
- Unauthorized use of deliverables for purposes not agreed upon;
- Breach of any applicable law or third-party rights.
9. Disclaimer & Limitation of Liability
- Services and content are provided “as is,” without warranties of any kind, explicit or implied.
- Koiyo Media is not liable for any indirect, incidental, consequential, or punitive damages arising from use of deliverables or the website.
- Liability is limited to the amount paid by the client under the relevant agreement.
10. Revisions & Accuracy
- While we strive for accuracy, errors or omissions may occur. Koiyo Media reserves the right to correct mistakes and update information without notice.
- Pricing and deliverables are subject to change prior to project approval.
11. Modifications to Terms
- These Terms may be updated at any time. Revised versions become effective immediately upon posting. Your continued use of services constitutes acceptance of the updated Terms.
12. Governing Law & Jurisdiction
- These Terms are governed by the laws of London, United Kingdom.
- Disputes will be resolved in the appropriate courts located in London, United Kingdom, unless otherwise agreed in writing.
13. Severability
If any provision of these Terms is found unenforceable, it will be modified to reflect the parties’ intent or removed, without affecting the remaining provisions which remain in full force.
14. Entire Agreement
These Terms, together with any SOWs or agreements, constitute the entire understanding between Koiyo Media and the Client, superseding all prior agreements pertaining to the same subject matter.
